Terms & Conditions

Introduction

These Terms & Conditions apply to all sales of products by BioServUK Limited whose main place of business is at Unit 5a, The Advanced Manufacturing Park, Sheffield, S60 5XA, United Kingdom, and whose registered office is at Salisbury House, Station Road, Cambridge, CB1 2LA, UK, registration number 04772000 and VAT number GB918490794. These Terms & Conditions shall supersede any standard terms of business of the customer. No variation of these Terms & Conditions and no representations about the products will be binding upon BioServUK unless it is in writing and is signed by BioServUK’s authorized representative.

Payment Terms

Net thirty (30) days after shipment in pound sterling, or as otherwise agreed. All orders are subject to final acceptance by BioServUK at the prices in effect at the time of shipment. If any part of an invoice remains outstanding after the due date for payment, BioServUK will be entitled to charge interest from the invoice date until full payment at the rate of 4% per year above the base rate from time to time of HSBC plc, calculated on a daily basis and compounded annually at 31st December. BioServUK retains ownership of any and all products delivered to the customer until BioServUK has received full, unconditional payment for such goods or services supplied by BioServUK.

Conditions

Unless otherwise stated on individual products, BioServUK products are intended for research use only and are not to be used for any other purposes including, but not limited to, unauthorized commercial purposes, in vitro diagnostic purposes, ex vivo or in vivo therapeutic purposes, investigational use, in foods, drugs, devices or cosmetics of any kind, or for consumption by or use in connection with or administration or application to humans or animals. You acknowledge that the goods have not been tested by or for us for safety or efficacy, unless expressly stated in our catalogues or on the label or other documentation accompanying the goods.

Prices

The prices quoted do not include packing and carriage charges or insurance and are exclusive of VAT. All shipments are under Ex-Works (ExW) Incoterms (2020). A packing charge (including dry-ice surcharges) may be added to the price of the product by BioServUK. BioServUK will give the customer an estimate of the packing charge on receipt of the order. BioServUK reserves the right to amend prices (including carriage charges) and product specifications without notice. Prices and product specifications in effect at the time of shipment are deemed final.

Orders

Orders may be placed by: telephone, written request delivered by post, fax, email, or by the BioServUK website on-line ordering facility. All orders must refer to BioServUK’s catalogue number for the relevant product and should contain a purchase order number, contact information, and billing/shipping addresses. Reference to any specific Quotation should also be provided. Orders placed by the customer shall be deemed to be accepted only upon receipt of a written acknowledgement issued by BioServUK or when the product is delivered to the customer, whichever occurs first. Products will be as described under the relevant product code in the catalogue, as agreed with the Customer and BioServUK. Customers should always review BioServUK’s website for the most current information before ordering and will be taken to be fully aware of all information and warnings available.

Limited Product Warranty

Any product that does not meet the performance standards stated in the product specification sheet will be reviewed and discussed with the Customer. This warranty limits our liability to the replacement of the product. No other warranties of any kind, express or implied, including without limitation, implied warranties of merchantability or fitness for a particular purpose, are provided by BioServUK. BioServUK shall have no liability for any direct, indirect, consequential or incidental damages arising out of the use, the results of use or the inability to use any product.

General

BioServUK will not be liable to the customer or be deemed to be in contractual breach by reason of any delay in performing, or any failure to perform, any of BioServUK’s obligations in relation to the product(s), if the delay or failure was due to any cause beyond BioServUK’s reasonable control and in particular BioServUK reserves the right to defer the date of delivery or to cancel any order or reduce the volume of the Products ordered by the customer if it is prevented from or delayed in carrying out its business due to circumstances beyond the reasonable control of BioServUK including without limitation, acts of God, governmental actions, war or national emergency, acts of terrorism, epidemic or other inability or delay in obtaining supplies. If any provision of these Terms & Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms & Conditions and the remainder of the provision in question shall not be affected thereby. The sale contract between the customer and Protein Ark is governed by English law, and these Terms & Conditions will be interpreted in accordance with English law. The customer, by ordering BioServUK products, is deemed to submit to the exclusive jurisdiction of the English courts in connection with any dispute which may arise from the use of the products or the sale contract between the customer and BioServUK.
